The Bank of London Group: fined by the Prudential Regulation Authority (PRA) for failing to act with integrity and misleading the PRA

This spring, it was reported that the Prudential Regulation Authority (PRA) had fined The Bank of London Group Limited and its parent company, Oplyse Holdings Limited (formerly The Bank of London Group Holdings Limited) £2 million for a number of misdemeanours. The companies were found to have misled the PRA over their capital positions, as well as their failure to act with integrity, to be open and cooperative with the regulator and maintain adequate financial resources. It was reported that this was the first time the PRA had fined a company for failing to conduct its business with integrity. It was also the first time a parent financial holding company had been fined.

The investigation by the PRA found that the Bank of London Group and Oplyse Holdings did not comply with regulatory capital requirements and maintain adequate financial resources between October 2021 and May 2024. The PRA also reported that a senior manager provided the regulator with a series of fabricated documents “intended to provide a false picture of the capital position”.

The penalty for the breaches was set at £12 million, which was then reduced to £2 million as the group demonstrated that such a fine would cause “serious financial hardship”. The group stated that it accepted the findings and, since a change in ownership, had invested in processes and engaged third parties to assist with their remediation activities.

The message from a due diligence perspective is clear. Organisations need to carefully assess their leadership credibility, financial resilience, regulatory requirements and early-warning indicators. Due diligence is not a tick-box exercise that starts and ends with onboarding. In this case, the fine against The Bank of London Group highlights the risks of treating due diligence as a one-time check, without the insight to conduct thorough due diligence designed to mitigate against risks. Garancie Limited’s specialised due diligence knowledge adds value and ensures that risks are flagged and acted on before they become major regulatory incidents.
